By accessing and using the services provided by CipherAdvisor SARL ("we," "us," or "our"), you ("client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and CipherAdvisor regarding your use of our cybersecurity risk management services, website, and related offerings. If you do not agree to these Terms, you must not use our services or access our website.
These Terms apply to all users of our cybersecurity consultancy services, including but not limited to enterprise clients, individual users accessing our website, and any third parties acting on behalf of our clients. By engaging with CipherAdvisor for any cybersecurity-related services, you acknowledge that you have read, understood, and agree to comply with these Terms.
CipherAdvisor provides professional cybersecurity risk management services to enterprises and organisations. Our services include but are not limited to:
All services are provided in accordance with industry best practices, applicable regulations, and the specific terms outlined in individual service agreements. CipherAdvisor reserves the right to modify, suspend, or discontinue any service at any time with appropriate notice to affected clients.
As a user of CipherAdvisor's services, you agree to the following obligations and responsibilities:
All intellectual property rights in and to CipherAdvisor's cybersecurity frameworks, methodologies, documentation, software, and other materials remain the exclusive property of CipherAdvisor. This includes but is not limited to proprietary risk assessment tools, security templates, training materials, and analytical methodologies developed by our team.
Clients are granted a limited, non-exclusive, non-transferable licence to use CipherAdvisor's materials solely for the purpose of implementing recommended cybersecurity measures within their organisation. This licence does not permit redistribution, modification, or commercial use of our intellectual property without express written consent.
Any improvements, modifications, or derivative works created by CipherAdvisor during the course of service delivery shall remain our intellectual property. Clients retain ownership of their pre-existing data and information, whilst CipherAdvisor retains rights to anonymised insights and methodologies developed during engagements.
CipherAdvisor recognises the sensitive nature of cybersecurity information and maintains strict confidentiality protocols. All client information, security assessments, vulnerabilities, and related data are treated as confidential and protected in accordance with our Privacy Policy and applicable data protection regulations, including GDPR.
Both parties acknowledge that they may have access to confidential information during the course of our professional relationship. This information shall be used solely for the purposes of service delivery and shall not be disclosed to third parties without prior written consent, except as required by law or regulation.
Payment terms for CipherAdvisor's cybersecurity services are specified in individual service agreements or proposals. Unless otherwise agreed in writing, invoices are due within thirty (30) days of the invoice date. Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
CipherAdvisor reserves the right to suspend services for accounts that are more than sixty (60) days overdue. All fees are non-refundable unless specifically stated otherwise in the service agreement. Clients are responsible for all costs associated with collection of overdue accounts, including reasonable attorney fees.
To the maximum extent permitted by applicable law, CipherAdvisor's total liability for any claims arising from or related to our cybersecurity services shall not exceed the total amount paid by the client for the specific services giving rise to the claim during the twelve (12) months preceding the claim.
CipherAdvisor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages. This limitation applies regardless of the legal theory upon which the claim is based.
CipherAdvisor provides cybersecurity recommendations and guidance based on industry best practices and our professional expertise. However, we cannot guarantee that implementation of our recommendations will prevent all security incidents or ensure complete protection against cyber threats. Clients acknowledge that cybersecurity involves ongoing risks that cannot be entirely eliminated.
CipherAdvisor shall not be liable for any failure or delay in performance under these Terms that is due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, epidemics, power failures, or internet service disruptions. In such cases, we will make reasonable efforts to minimise the impact and resume normal service delivery as soon as practicable.
These Terms shall be governed by and construed in accordance with the laws of Luxembourg, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or our cybersecurity services shall be subject to the exclusive jurisdiction of the courts of Luxembourg.
The parties agree that any legal proceedings shall be conducted in English, and all applicable European Union regulations, including but not limited to GDPR and the NIS Directive, shall be considered in the interpretation and enforcement of these Terms.
Either party may terminate ongoing cybersecurity services with thirty (30) days' written notice. CipherAdvisor reserves the right to terminate services immediately if a client materially breaches these Terms or fails to pay outstanding invoices after appropriate notice and cure period.
Upon termination, clients shall pay all outstanding fees for services rendered up to the termination date. CipherAdvisor will provide a final report summarising completed work and recommendations. All confidentiality obligations shall survive termination of the service relationship.
Termination does not relieve either party of obligations incurred prior to the termination date. CipherAdvisor will return or destroy client confidential information as requested, whilst retaining necessary records for legal and regulatory compliance purposes.
CipherAdvisor reserves the right to modify these Terms at any time to reflect changes in our services, legal requirements, or business practices. Material changes will be communicated to existing clients with at least thirty (30) days' notice via email or through our website.
Continued use of our cybersecurity services after the effective date of modified Terms constitutes acceptance of the changes. If you do not agree to the modified Terms, you must discontinue use of our services and notify us of your objection within the notice period.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent of the parties.
These Terms, together with any applicable service agreements, proposals, and our Privacy Policy, constitute the entire agreement between you and CipherAdvisor regarding the use of our cybersecurity services. These Terms supersede all prior or contemporaneous communications, proposals, and agreements relating to the subject matter herein.
